1. Scope and agreement
These terms govern your use of relayflowbase.digital and consulting services supplied by Relay Flow Base from Bangkok, Thailand. A consulting engagement begins only when both parties accept a written proposal or statement of work. If that document conflicts with these general terms, the engagement document takes priority.
You must be authorised to engage us on behalf of your organisation and provide accurate information needed to scope and perform the work.
2. Services and collaboration
Services may include measurement planning, instrumentation review, behavioural analysis, experiment measurement, workshops, and ongoing analytics advisory. Deliverables, timing, dependencies, access requirements, and fees are defined in the proposal.
You are responsible for timely access to relevant people, documentation, systems, and lawfully collected data. Delays or material changes may require a revised schedule or scope.
3. Fees, invoices, and taxes
Fees are informational on this site only and no payment is collected here. Engagement fees, currency, invoice schedule, taxes, and reimbursable expenses are specified in writing. Unless otherwise agreed, invoices are due within 14 calendar days. Late payment may pause work after reasonable notice.
4. Data, confidentiality, and security
Each party will protect non-public information received through the engagement and use it only for the agreed work. Confidentiality does not cover information already known without restriction, independently developed, publicly available through no breach, or lawfully received from another source.
Clients should provide the minimum data needed and avoid unnecessary direct identifiers. Any additional data-processing terms will be agreed before access is granted.
5. Intellectual property
After full payment, you may use the bespoke deliverables created for your engagement for your internal business purposes. Relay Flow Base retains pre-existing methods, templates, general know-how, and reusable tools. Where those materials appear in a deliverable, you receive a non-exclusive licence to use them with that deliverable.
You retain ownership of your data, systems, trademarks, and materials. You confirm that you have permission to provide all client materials used in the work.
6. Professional judgement and liability
Analytics findings are based on available data, stated assumptions, and the product context at the time. We do not guarantee a commercial outcome, flawless source data, or that every recommendation will suit future conditions. Decisions remain the client’s responsibility.
To the extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss. Any aggregate liability arising from an engagement is limited to fees paid for the affected services, except where a limitation is prohibited by law.
7. Ending an engagement
Either party may terminate for a material breach not corrected within a reasonable written notice period. A client may also cancel for convenience subject to the accepted proposal and refund policy. Fees remain due for completed work, committed specialist time, and approved non-recoverable costs.
Provisions concerning payment, confidentiality, intellectual property, liability, and dispute resolution survive termination where their nature requires it.
8. Governing terms and contact
These terms are governed by the laws of Thailand. The parties will first try in good faith to resolve any dispute through direct discussion before pursuing formal remedies. If one provision is unenforceable, the remaining terms continue.
